The commercial ground rules. Anything project-specific is governed by the written build plan, which takes precedence over this page.

Scope of these terms

These terms cover use of this website and the general basis on which IDE Digital LLC provides services. Every engagement is also governed by a written build plan naming the deliverables, the fixed price and the ship date. Where the two disagree, the build plan wins.

Quotes and pricing

Engagements are priced per project rather than hourly, starting at $5,000. A quote is valid for thirty days. Prices exclude any third-party costs — domains, hosting, licences and paid APIs — which are provisioned in your name and billed to you directly by those providers.

Payment

Unless the build plan says otherwise, work begins on receipt of a deposit, with the balance due on delivery. Larger builds run on milestone payments. Settlement is accepted in fiat by bank transfer or card, or on-chain in the assets listed on the site. On-chain payments are final and settle at the value received.

Scope changes

You may change direction at any point. Because the price is fixed against a defined scope, a material change is re-quoted before it is built rather than absorbed silently and invoiced later. Small adjustments within the agreed scope are simply part of the work.

Your responsibilities

Delivery dates assume a single decision-maker, feedback within two business days on review milestones, and timely delivery of content and third-party access. Delay on these moves the ship date by a corresponding amount.

Ownership

On final payment, all rights in the delivered work transfer to you: source code, design files, and the accounts the project runs on. There is no proprietary framework and no ongoing licence. We retain the right to describe the work publicly and to reuse generic, non-confidential techniques and boilerplate. Third-party open-source components stay under their own licences.

Confidentiality

Anything you share that is not public is treated as confidential and is not disclosed to anyone else. If you would prefer the engagement itself stay unpublished, say so and it will be omitted from the portfolio.

Warranty and correction

Delivered work is warranted to function materially as described in the build plan for thirty days after launch. Defects reported in that window are fixed at no cost. The warranty does not cover changes made by others, failures in third-party services, or new features requested after delivery.

Limitation of liability

To the extent the law allows, liability arising from an engagement is limited to the fees paid for it, and does not extend to lost profits, lost revenue or lost data. Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

Ending an engagement

Either side may stop an engagement in writing. You pay for work completed to that point; anything already delivered and paid for remains yours. Deposits covering work not yet started are refunded.

Governing law

These terms are governed by the laws of the State of Florida, United States, and disputes fall to the courts of that state.
